DOJ Issues Second Request for Docs in Fox’s $22B Roku Acquisition

Fox Corporation’s plan to acquire Roku Inc. for roughly $22 billion – a mix of cash and stock – has entered a new regulatory hurdle. On Tuesday, the U.S. Department of Justice (DOJ) served both companies with a formal “second request,” a routine but significant step in antitrust reviews of large mergers.

The request asks Fox and Roku to provide a deep dive into a wide range of internal materials. Among the items sought are detailed advertising contracts, revenue‑sharing models, content‑licensing agreements, and data‑usage policies that could affect market competition. The DOJ also wants projections on how the combined entity might price advertising, bundle services, or leverage user data to gain an advantage over rivals.

Second‑request letters are common in high‑profile tech deals; they appeared during Microsoft’s attempt to buy Activision Blizzard and Amazon’s acquisition of MGM. In each case, the Justice Department used the additional documentation to assess whether the transaction would lessen competition, raise barriers to entry, or harm consumer choice.

Fox and Roku have been given about a week to compile the requested information and submit it to the DOJ. Both firms acknowledge that the extra work could push back the anticipated closing date. If the agency concludes that the merger poses antitrust concerns even after reviewing the new data, it could demand divestitures, impose behavioral remedies, or, in the most extreme scenario, block the deal entirely.

Industry analysts interpret the DOJ’s move as a sign that regulators are scrutinizing consolidation in the streaming and advertising ecosystems more closely than before. They warn that future mega‑mergers involving content platforms and distribution technology may face similarly rigorous examinations, potentially reshaping how media giants approach strategic acquisitions.

For now, Fox and Roku must balance the demands of the investigation with their own integration timelines, while shareholders and competitors watch closely to see whether the deal will survive the heightened antitrust scrutiny.
